These Terms and Conditions (“Agreement”) govern the truck dispatching services provided by Jacobs Premier Logistics LLC (“Dispatcher,” “we,” “us,” or “our”) to the motor carrier, owner-operator, or trucking company (“Client,” “Carrier,” or “you”) that engages our services. By requesting, accepting, or using our dispatching services, the Client agrees to be bound by this Agreement.

1. Nature of Services

Jacobs Premier Logistics LLC provides truck dispatching services only. We are not a motor carrier, and we do not operate as a licensed property broker under 49 U.S.C. § 13102. Our role is limited to locating available freight, negotiating rates on the Client’s behalf, coordinating pickup and delivery schedules, handling paperwork related to load bookings, and providing general back-office support to the Client’s trucking operation.

The Client remains, at all times, an independent motor carrier responsible for the physical transportation of freight under its own operating authority.

2. Client Eligibility and Responsibilities

The Client represents and warrants that it holds, and will maintain for the duration of this Agreement:

  • Valid and active USDOT and MC operating authority issued by the FMCSA
  • Current commercial auto liability insurance and cargo insurance meeting or exceeding federal and broker requirements
  • Roadworthy equipment in compliance with all applicable federal, state, and local regulations
  • Valid commercial driver’s license(s) for all drivers operating under the Client’s authority

The Client is solely responsible for the safe and lawful operation of its vehicles, compliance with Hours of Service regulations, and the condition and delivery of all cargo transported. Jacobs Premier Logistics LLC does not direct, control, or supervise the manner in which the Client performs the physical transportation of freight.

3.Dispatch Fees and Payment

The Client agrees to pay Jacobs Premier Logistics LLC a dispatch fee for each load booked on the Client’s behalf, calculated as a percentage of the gross line-haul rate or a flat fee, as agreed between the parties prior to the start of services. Fees are due upon the Client’s receipt of payment from the broker or shipper for the corresponding load, unless otherwise agreed in writing.

Invoices not paid within the agreed timeframe may be subject to late fees and suspension of further dispatch services until the account is brought current.

4. Load Booking Process

Jacobs Premier Logistics LLC will present available loads to the Client for review. No load is considered booked until the Client has expressly agreed to the rate, origin, destination, and delivery terms. Once confirmed, the Client is responsible for fulfilling the load in accordance with the agreed rate confirmation, including any accessorial terms (detention, layover, lumper fees, etc.) stated on that confirmation.

5. Independent Contractor Relationship

Jacobs Premier Logistics LLC and the Client are independent contractors. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between the parties. Neither party has authority to bind the other except as expressly stated herein.

6. No Guarantee of Loads or Income

Freight availability, market rates, and load volume fluctuate based on factors outside our control. Jacobs Premier Logistics LLC does not guarantee any specific number of loads, rate per mile, or level of income to the Client.

7. Confidentiality

Each party agrees to keep confidential any non-public business information disclosed by the other party during the course of this Agreement, including rate history, broker contacts, and operational details, and will not disclose such information to third parties without prior written consent, except as required by law.

8. Non-Solicitation and Non-Circumvention

During the term of this Agreement and for twelve (12) months following its termination, the Client agrees not to circumvent Jacobs Premier Logistics LLC by directly contacting or booking loads with brokers or shippers introduced by us for the purpose of avoiding dispatch fees owed under this Agreement.

9. Limitation of Liability

Jacobs Premier Logistics LLC is not liable for cargo loss or damage, delays, accidents, violations of law, equipment failure, or any other event arising from the Client’s physical transportation of freight. The Client’s insurance and operating authority are the sole source of coverage for such matters. In no event shall Jacobs Premier Logistics LLC’s liability to the Client, arising from any cause whatsoever, exceed the total dispatch fees paid by the Client to us in the three (3) months preceding the claim.

10. Indemnification

The Client agrees to indemnify and hold harmless Jacobs Premier Logistics LLC, its owners, and employees from any claims, damages, fines, or liabilities arising from the Client’s operation of its vehicles, violation of applicable law, or breach of this Agreement.

11. Term and Termination

This Agreement remains in effect until terminated by either party with written notice. Either party may terminate this Agreement at any time, for any reason, with at least seven (7) days’ written notice. Termination does not relieve the Client of payment obligations for dispatch fees already earned on loads booked prior to termination.

12. Force Majeure

Neither party shall be held liable for delays or failure to perform obligations under this Agreement caused by events beyond its reasonable control, including natural disasters, government action, labor disputes, or other unforeseeable circumstances.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall first be addressed through good-faith negotiation between the parties, and if unresolved, shall be subject to the exclusive jurisdiction of the state or federal courts located in Connecticut.

14. Entire Agreement and Amendments

This Agreement constitutes the entire understanding between the parties regarding dispatch services and supersedes any prior oral or written agreements. Jacobs Premier Logistics LLC reserves the right to update these Terms and Conditions from time to time; continued use of our services after such changes constitutes acceptance of the revised terms.
